Terms of Service

These Terms of Service govern your use of SaintOrbit, including your account, business workspace, storefront, products, services and related platform features.

Last updated: August 31, 2026
Please read these Terms carefully. By creating a SaintOrbit account, accessing the platform, creating a business workspace, publishing a storefront, or otherwise using SaintOrbit, you agree to these Terms of Service and the policies referenced in them. If you do not agree with these Terms, you must not use SaintOrbit.

1. About SaintOrbit

SaintOrbit is a software platform that provides tools for businesses to create and manage digital business workspaces and storefronts.

SaintOrbit may provide features including business management tools, storefronts, product management, inventory tools, order management, customer-management functionality, analytics, payment integrations and other software services.

SaintOrbit is operated by S.A. SHOLA.

2. Eligibility

You may use SaintOrbit only if you are legally capable of entering into a binding agreement under applicable law.

If you create an account on behalf of a business, organisation or another person, you confirm that you have authority to do so.

You are responsible for ensuring that your use of SaintOrbit complies with the laws and regulations applicable to you and your business.

3. Creating a SaintOrbit Account

You must provide accurate and reasonably complete information when creating your account and business workspace.

You must not create an account using false identity information, another person's identity, or information intended to impersonate another business.

You are responsible for keeping your login credentials secure and for activities conducted through your account.

If you believe that your account has been compromised, you should contact SaintOrbit promptly.

4. Business Information and Verification

SaintOrbit may request additional information or documentation to verify the identity, ownership, legitimacy or nature of a business.

Depending on the business, its activities, risk level or features being requested, SaintOrbit may request information such as:

  • Business name and business address.
  • Owner or authorised representative information.
  • Telephone or email verification.
  • Business registration information.
  • CAC registration information where applicable.
  • Identity or supporting documentation where reasonably necessary.
  • Additional information required for fraud prevention, security or legal compliance.

Providing verification information does not mean that SaintOrbit guarantees, endorses or warrants the business, its products, services or transactions.

SaintOrbit may restrict certain platform features until requested verification information has been provided and reviewed.

5. Business Storefronts

SaintOrbit may allow users to create public-facing digital storefronts or business pages.

The merchant or business owner is responsible for the content and operation of their storefront.

This includes responsibility for:

  • Business information.
  • Product and service descriptions.
  • Product prices.
  • Availability and inventory information.
  • Advertising and promotional claims.
  • Customer communications.
  • Orders and fulfilment.
  • Shipping and delivery.
  • Returns and refunds.
  • Applicable taxes and regulatory obligations.
  • The legality and safety of products and services offered.

6. Merchant Responsibility for Customer Transactions

Unless SaintOrbit expressly states otherwise for a particular service, a transaction between a merchant and that merchant's customer is a transaction between those parties.

The merchant is responsible for accurately representing the goods or services offered and for fulfilling lawful customer orders.

SaintOrbit does not become the seller, manufacturer, distributor or supplier of a merchant's products merely because those products are displayed using SaintOrbit.

Merchants must comply with applicable consumer-protection, advertising, product-safety, tax, licensing and other legal requirements.

7. Prohibited Activities

You must not use SaintOrbit to conduct, facilitate, promote or conceal unlawful or abusive activities.

Prohibited activities include, without limitation:

  • Fraud or attempted fraud.
  • Phishing or impersonation.
  • Identity theft.
  • Operating fake or deceptive storefronts.
  • Selling counterfeit or stolen goods.
  • Money laundering or facilitating financial crime.
  • Illegal investment or financial schemes.
  • Ponzi or pyramid schemes that violate applicable law.
  • Offering illegal goods or services.
  • Malware, malicious software or harmful code.
  • Deceptive advertising or materially misleading claims.
  • Manipulating reviews or customer feedback.
  • Attempting to compromise SaintOrbit or another user's account.
  • Attempting to bypass security, verification or access controls.
  • Using SaintOrbit to violate another person's intellectual-property rights.
  • Using SaintOrbit in a manner that violates applicable law.

SaintOrbit may maintain additional prohibited-product and acceptable-use rules that form part of these Terms.

8. Fraud, Abuse and Store Reports

SaintOrbit may provide mechanisms through which users or members of the public can report suspected fraud, abuse, illegal activity or violations of these Terms.

SaintOrbit may investigate reports and may request information from the affected merchant.

Where reasonably necessary to protect users, customers, SaintOrbit or the public, SaintOrbit may temporarily restrict a storefront, account, transaction capability or other platform feature while an investigation is conducted.

SaintOrbit may cooperate with competent authorities and lawful requests for information where required or permitted by applicable law.

9. Suspension and Termination

SaintOrbit may suspend, restrict or terminate an account or storefront where it reasonably believes that:

  • These Terms have been violated.
  • Fraud or abuse may be occurring.
  • False or misleading information has been provided.
  • The account presents a material security risk.
  • The business or its activities may violate applicable law.
  • The storefront contains prohibited products or services.
  • Suspension is reasonably necessary to protect customers or the platform.
  • A lawful authority requires or requests appropriate action.

Where appropriate, SaintOrbit may provide an opportunity for the merchant to respond or provide additional information.

SaintOrbit may permanently terminate accounts involved in serious or repeated violations.

10. Payments and Subscriptions

Certain SaintOrbit features may require payment, including subscriptions, premium features or other services.

Prices, billing periods and applicable payment terms will be presented before a paid service is activated.

Where third-party payment processors are used, payment processing may also be subject to the processor's terms and policies.

Merchants remain responsible for payments, refunds, taxes and customer obligations associated with their own products and services unless SaintOrbit expressly assumes a particular responsibility.

11. Refunds and Cancellations

SaintOrbit subscription refunds and cancellations are governed by the applicable SaintOrbit Refund and Cancellation Policy.

A merchant's refund or return obligations to its own customers are generally the responsibility of that merchant and must comply with applicable law.

Nothing in these Terms is intended to remove or restrict a consumer right that cannot lawfully be excluded.

12. Customer Information

Merchants may receive personal information from customers through features of their storefront.

Merchants are responsible for using customer information lawfully and only for appropriate business purposes.

Merchants must not misuse customer information, sell personal information unlawfully, or use customer information for purposes that are not permitted by applicable law.

SaintOrbit's handling of personal information is further described in the SaintOrbit Privacy Policy.

13. Privacy

Your use of SaintOrbit involves the processing of certain information.

Our Privacy Policy explains what information SaintOrbit collects, why it is collected, how it is used, how it may be shared, and the choices available to users.

By using SaintOrbit, you acknowledge that you have reviewed the applicable Privacy Policy.

14. Business Logos, Content and Intellectual Property

You retain ownership of content and materials that you lawfully provide to SaintOrbit, subject to the rights necessary for SaintOrbit to operate the platform.

You confirm that you have the necessary rights to upload logos, photographs, product information, trademarks and other content to SaintOrbit.

You grant SaintOrbit a limited, non-exclusive, worldwide licence to host, reproduce, display and technically process your submitted content to provide and operate the services.

SaintOrbit's software, branding, interface, designs, technology and platform features remain the property of SaintOrbit or their respective licensors unless otherwise stated.

15. Third-Party Services

SaintOrbit may integrate with third-party services, including authentication providers, payment processors, hosting services, analytics services and other technology providers.

Third-party services may have their own terms and privacy policies.

SaintOrbit is not responsible for independent services operated by third parties, although we may work to maintain integrations with them.

16. Platform Availability

SaintOrbit aims to provide a reliable service but does not guarantee that the platform will always be available, uninterrupted or error-free.

Temporary interruptions may occur because of maintenance, technical failures, security incidents, third-party service failures, network problems or circumstances outside our reasonable control.

17. Security

SaintOrbit uses reasonable technical and organisational measures intended to protect the platform and information processed through it.

However, no internet-connected system can be guaranteed to be completely secure.

You are responsible for maintaining the security of your account credentials and devices.

18. Disclaimer

SaintOrbit provides software tools and platform services. Except where expressly stated or required by applicable law, SaintOrbit does not guarantee the accuracy, legality, quality or reliability of content supplied by merchants or other users.

A verification badge or verification status does not constitute an endorsement, guarantee or warranty of a merchant, product or transaction.

SaintOrbit does not guarantee that every merchant using the platform is legitimate or that every transaction conducted through a merchant storefront will be successfully completed.

19. Limitation of Liability

To the maximum extent permitted by applicable law, SaintOrbit will not be responsible for losses arising solely from a merchant's products, services, representations, omissions, fulfilment decisions, customer disputes or unlawful conduct.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

Nothing in these Terms is intended to remove a statutory consumer protection or other legal right that cannot lawfully be excluded.

20. Indemnification

To the extent permitted by applicable law, a merchant agrees to be responsible for claims, losses, liabilities and reasonable costs arising from the merchant's unlawful use of SaintOrbit, violation of these Terms, infringement of third-party rights, or products and services offered through the merchant's storefront.

This provision does not apply where applicable law prohibits such an allocation of responsibility.

21. Changes to SaintOrbit

SaintOrbit may add, modify, suspend or discontinue features of the platform from time to time.

Where material changes affect these Terms, SaintOrbit may provide reasonable notice through the platform, email or another appropriate method.

22. Changes to These Terms

SaintOrbit may update these Terms when reasonably necessary, including to reflect changes in the platform, business practices, security requirements or applicable law.

The updated version will be published on this page with a revised effective or update date.

Continued use of SaintOrbit after an applicable update may constitute acceptance of the updated Terms to the extent permitted by law.

23. Governing Law

These Terms are intended to be interpreted in accordance with the laws applicable in Nigeria, subject to any mandatory legal rights or protections that apply to a particular user or transaction.

Nothing in these Terms prevents a consumer or other person from exercising a legal right or remedy that cannot lawfully be waived.

24. Severability

If any provision of these Terms is found to be invalid, unlawful or unenforceable, the remaining provisions will continue to operate to the extent permitted by law.

25. Entire Agreement

These Terms, together with the SaintOrbit Privacy Policy, Acceptable Use Policy, Merchant Agreement, Refund and Cancellation Policy and other policies expressly incorporated into them, form the applicable agreement governing your use of SaintOrbit, subject to mandatory legal requirements.
